Terms & Conditions

Rules for accessing and using Saarthee CoPlanner by NAS, including integrations, AI-assisted features, and optional local automation.

1. Parties and product

These Terms & Conditions (“Terms”) govern your access to and use of the software and services branded as Saarthee CoPlanner by NAS(“Service”), operated in connection with Nearaj's AI Services (“NAS”) and related sites such as nasneeraj.com. The Service is intended as a personal productivity and integration hub (for example: mail, calendar, tasks, files, Notion, optional finance inputs, and optional local tooling on devices you control).

By creating an account, signing in, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility and accounts

You must be legally able to enter a contract in your jurisdiction. You are responsible for maintaining the confidentiality of credentials and for activity under your account. You agree to provide accurate information where the Service requests it.

3. License to use the Service

Subject to these Terms, NAS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business use, consistent with documentation and any plan limits that may apply.

Except where open-source components apply their own licenses, you may not reverse engineer, decompile, circumvent technical limits, resell the Service, or use the Service to build a competing offering without written permission.

4. Third-party services and data sources

The Service may connect to third-party platforms (for example Google, Microsoft, Notion, and others). Your use of those platforms remains subject to their terms, policies, and consent screens. NAS does not control third-party APIs, uptime, pricing, or policy changes. You authorize the Service to access data you explicitly connect, only as needed to provide features you enable.

5. AI-assisted features

Where the Service includes artificial intelligence or automation, outputs may be inaccurate, incomplete, or unsuitable for your situation. You remain responsible for decisions you make and actions you take based on outputs. AI features are not a substitute for professional advice (see also the Disclaimer).

6. Optional local agent and device automation

If you enable features that run scripts, commands, or automation on your computer or network, you accept that such actions can modify, move, or delete data on devices you control. You are solely responsible for backups, permissions, and the safety of commands you approve.

7. Acceptable use

You agree not to:

  • Violate law or infringe others' rights;
  • Attempt unauthorized access to systems, accounts, or data;
  • Send spam, malware, or abusive content through connected channels;
  • Use the Service to train competing models on NAS proprietary assets without permission;
  • Overload or disrupt the Service or connected providers.

NAS may investigate and suspend or terminate access for violations, with or without notice, where reasonably necessary to protect users, providers, or the Service.

8. Intellectual property

NAS and its licensors retain all rights in the Service, branding, and documentation except as expressly granted. Feedback you provide may be used to improve the Service without obligation to you, subject to the Privacy Policy.

9. Beta, preview, and changes

The Service may be offered in preview or beta form. Features, limits, and availability may change. NAS may modify these Terms by posting an updated version and updating the effective date. Continued use after changes constitutes acceptance of the revised Terms for new use; material changes may require additional notice where required by law.

10. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, NAS disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. See the Disclaimer page for additional limitations on reliance.

11. Limitation of liability

To the maximum extent permitted by law, NAS and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or business interruption, arising from use of the Service or third-party integrations. NAS's aggregate liability for claims arising out of the Service is limited to the greater of (a) amounts you paid NAS for the Service in the twelve months before the claim or (b) USD $50, unless a higher minimum is required by applicable law.

12. Indemnity

You will defend and indemnify NAS and its affiliates, officers, and agents against claims arising from your misuse of the Service, your content, your violation of these Terms, or your violation of third-party rights, except to the extent caused by NAS's willful misconduct.

13. Termination

You may stop using the Service at any time. NAS may suspend or terminate access for breach, risk, legal process, or discontinuation of the Service. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations, indemnity, and dispute terms) will survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the United States and the jurisdiction NAS designates for its operating entity, without regard to conflict-of-law rules. Courts in that jurisdiction have exclusive venue, unless mandatory consumer protections require otherwise. Before filing a claim, you agree to attempt good-faith informal resolution via the contact channel on nasneeraj.com.
